(the \u201c<u>Company<\/u>\u201d) today announced that its subsidiary J&amp;F Luxembourg Finance S.\u00e0 r.l. (the \u201c<u>Issuer<\/u>\u201d) has priced an offering (the \u201c<u>New Notes Offering<\/u>\u201d) of senior notes (the \u201c<u>Notes<\/u>\u201d) to be issued by the Issuer and guaranteed by the Company, Eldorado Brasil Celulose S.A. (\u201c<u>Eldorado<\/u>\u201d), LHG Mining Ltda. and Flora Produtos de Higiene e Limpeza S.A. (\u201c<u>Flora<\/u>\u201d, and, collectively with the Company, Eldorado and LHG Mining, the \u201c<u>Guarantors<\/u>\u201d), in the aggregate principal amount of US$400,000,000, with a coupon of 8.000% per annum and maturity in 2033.<\/p>\n<p align=\"justify\">The settlement and issuance of the Notes is scheduled for April 23, 2026, subject to customary closing conditions.<\/p>\n<p align=\"justify\">The Company intends to use the net proceeds from the New Notes Offering to repay certain indebtedness, including bilateral loans with financial institutions.<\/p>\n<p align=\"justify\">The Notes and related guarantees are being offered only to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended (the \u201c<u>Securities Act<\/u>\u201d), and, outside the United States, to persons other than \u201cU.S. persons\u201d in compliance with Regulation S under the Securities Act.
